Credentials & Governance Standards

M&A and business brokerage run on trust. Every mandate is built around formal AML/CFT qualification, documented KYC procedures and a transaction architecture that keeps funds, registries and regulators aligned — so a deal closes instead of stalling on a frozen account.

AML Masterclass — intensive program for obliged entities

Issued: September 2026Registry No.: 467/2026

An intensive AML/CFT program for obliged entities: risk assessment, customer due diligence, beneficial-owner identification and the reporting duties owed to the GIIF. It satisfies the training obligation the Polish AML/CFT Act places on persons performing AML duties — the prerequisite for carrying compliance responsibility at management-board (Zarząd) level in an obliged entity.

Key competencies

  • KYC / CDD
  • UBO & CRBR
  • Source of funds
  • Sanctions screening
  • GIIF reporting
  • Risk assessment

How this shows up in a deal

Three principles applied to every mandate — from first contact to the transfer of funds.

Strict confidentiality & NDA standards

News that a business is for sale is more dangerous to the company than the sale itself. Disclosure therefore happens in stages, and every stage is recorded.

  • Mutual NDA before any access to data
  • Anonymous teaser — identity disclosed once a buyer qualifies
  • Documents released in stages, logged per recipient

UBO & sanctions screening

Who actually owns the company, and whether a bank can work with them at all, is settled before price negotiations start.

  • Ownership chain mapped down to natural persons
  • CRBR entry reconciled with the real structure
  • EU / UN / OFAC list and PEP status screening

Safe transaction architecture (Share deal / Asset deal)

The deal form is chosen on the liabilities that travel with it and on how the source of funds is evidenced — not out of habit.

  • Structure matched to liability transfer risk
  • Escrow and staged payments
  • Source of funds documented before closing

Planning a sale or an acquisition?

Let's discuss the structure before the deal starts — not after a bank asks its first question about where the money came from.
